These Terms of Use ("Terms") regulate the access or use of software, websites, information,products and services (the "Services") made available by cossy ride, a Canadian-based company with its office in Montreal, by you, a person from Quebec, the province of Canada.
PLEASE READ THESE TERMS CAREFULLY BEFORE ACCESSING OR USING THE SERVICES.
Your access to and use of the Services is your consent to be bound by these Terms which establish a contractual relationship between you and cossy ride. Cossy ride may, at any time for any reason, immediately terminate these Terms or any Services in respect of you, or generally cease to offer or deny access to the Services or any portion thereof.
Additional terms that apply to certain Services, such as policies for a particular event, operation or promotion, and you will be told of such additional terms in connexion with the Services in question. In the event of a conflict with the relevant Programs, supplementary terms shall prevail over these Terms.
Cossy ride may sometimes amend the Services Terms. Amendments may take effect after posting these revised Terms at this location through cossy ride, or the amended policies or additional terms on the relevant Service. After such posting your continued access to or use of the Services constitutes your consent to be bound by the Terms as amended.
The Services is a technology platform that enables users of mobile applications or websites provided by cossy ride as part of the Services (each "Application") to arrange and schedule transportation and/or logistics services with independent third-party service providers, including independent third-party transportation providers and independent third-party service providers.
Logistics suppliers under contract with Cossy Ride or certain affiliates of Cossy Ride ("Third-party Suppliers"). If decided otherwise by cossy ride in a separate written agreement with you, the Services shall only be made available for your personal, non-commercial use. THE SERVICES ARE A TECHNOLOGY PLATFORM THAT ENABLES USERS OF MOBILE APPLICATIONS OR WEBSITES PROVIDED BY COSSY RIDE AS PART OF THE SERVICES (EACH "APPLICATION") TO ARRANGE AND SCHEDULE TRANSPORTATION AND/OR LOGISTICS SERVICES WITH INDEPENDENT THIRD-PARTY SERVICE PROVIDERS, INCLUDING INDEPENDENT THIRD-PARTY TRANSPORTATION PROVIDERS AND INDEPENDENT THIRD-PARTY SERVICE PROVIDERS.
Cossy ride grants you a restricted, non-exclusive, non-sublicensable, revocable, non-transferable license subject to your compliance with these Terms to (i) access and use the Applications on your personal device solely in conjunction with your use of the Services; and (ii) access and use any content, information and related material that may be made available through the Services;In each case, for your own non-commercial use only. Any rights not expressly conferred herein are reserved by the licensors of cossy ride and cossy ride.
You may not: (i) remove any copyright, trademark or other proprietary notices from any portion of the Services; (ii) reproduce, modify, prepare derivative works based upon, distribute, license, lease, sell, resell, transfer, publicly display, publicly perform, transmit, stream, broadcast or otherwise exploit the Services except as expressly permitted by cossy ride; (iii) decompile, reverse engineer or disassemble the Services except as may be permitted by applicable law; (iv) link to, mirror or frame any portion of the Services; (v) cause or launch any programs or scripts for scraping, indexing, surveying, or otherwise data mining any portion of the Services or unduly burdening or hindering the operation and/or functionality of any aspect of the Services; or (vi) attempt to gain unauthorized access to or impair any aspect of the Services or its related systems or networks.
You agree that parts of the Services may be made available under the various brands of cossy ride, or alternatives relevant to transport or logistics requests. You also acknowledge that, under such brands or request options, the Services may be made available by or in connection with: I certain subsidiaries and affiliates of cossy ride; or (ii) independent third-party providers; including transportation network company drivers, transportation charter permit holders or holders of similar transportation permits, authorizations or licenses.
The Services may be made available or accessed in conjunction with services and material from third-parties (including advertising) which is not regulated by cossy ride. You agree that different terms of use and privacy policies that relate to your use of the services and content provided by third-parties. Cossy ride does not accept these third-party services and products and cossy ride shall not be responsible in any way or liable for any products or services of such third-party providers. Also, whether you access the Services using Apple iOS, Android, Microsoft Windows or Blackberry-powered mobile devices, Apple Inc., Google, Inc., Microsoft Corporation or BlackBerry Limited and/or their related foreign subsidiaries and affiliates will be third-party beneficiaries of this deal. These third-party recipients are not parties to this contract and are not responsible in any way for the provision or support of the Services. Your access to the Services using these devices is subject to the terms of service set out in the conditions of service of the applicable third-party beneficiary.
The Services and all rights contained therein are and will remain the property of cossy ride or the property of licensors of cossy ride. Neither these Terms nor your use of the Services conveys or grant you any rights: I in or relating to the Services except for the limited license granted above; or (ii) to use or refer to company names, logos, product and service names, trademarks or services marks or those of cossy ride’s licensors.
You must register for and maintain an active Personal User Services account ("Account") to use certain aspects of the Services. To open an Account, you must be at least 18 years old. Registration of an account allows you to provide certain personal information, such as your name, address, mobile phone number and age, and at least one valid method of payment (either a credit card or accepted payment partner).You agree to keep information in your Account accurate, complete and up-to-date. Your failure to maintain accurate, complete, and up-to-date account information, including an invalid or expired method of payment in file, may result in your inability to access and use the Services or the termination of these Terms with you by cossy ride. You are responsible for all activities that take place under your Account and you agree to uphold the confidentiality and privacy of your username and password at all times. Unless otherwise permitted in writing by cossy ride, you may only have one Account.
The Service may not be used for persons under the age of 18. You may not allow third-parties to use your Account and you may not approve transportation or logistics services from third-party providers to persons under the age of 18 unless they are accompanied by you. You may not delegate your Account to any other person or entity or otherwise. When using the Services, you consent to comply with all applicable laws, and you may only use the Services for legitimate purposes (e.g., no shipment of illegal or dangerous material). You will not cause any disturbance, irritation, inconvenience or damage to property in your use of the Services, whether to the third-party provider or any other entity. In certain circumstances, you may be asked to provide proof of identity for accessing or using the Services, and you accept that if you fail to provide proof of identity, you may be denied access to or use the Services.
By creating an Account, you accept that the Services that send you text messages (SMS) as part of the normal business of using the Services.
Cossy ride can, at cossy ride’s sole discretion, allow you from time to time to download, upload, publish or otherwise make available for cossy ride through the Text, Audio and/or Visual Content and Information Services, including comments and feedback related to the Services, initiation of support requests and submission of contest and promotion entries (' User Content '). Any User Content which you provide remains your property. By providing user content for cossy rides, however, you grant cossy rides a worldwide, perpetual, irrevocable, transferable, royalty-free license with the right to use, copy, modify, create derivative works of, distribute, publicly display, publicly execute and otherwise exploit such user content in any manner whatsoever and distribution channels now established or imagined (including in connection with the Services and Cossy Ride company and third-party sites and services), without further notification or approval from you, and without payment requirements to you or any other individual or agency.
You represent and warrant that: (i) you either are the sole and exclusive owner of all User Content or you have all rights, licenses, consents and releases necessary to grant cossy ride the license to the User Content as set forth above; and (ii) neither the User Content nor your submission, uploading, publishing or otherwise making available of such User Content nor cossy ride’s use of the User Content as permitted herein will infringe, misappropriate or violate a third-party’s intellectual property or proprietary rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation.
You agree to not provide User Content that is defamatory, libelous, hateful, violent, obscene, pornographic, unlawful, or otherwise offensive, as determined by cossy ride in its sole discretion, whether or not such material may be protected by law. cossy ride may, but shall not be obligated to, review, monitor, or remove User Content, at cossy ride’s sole discretion and at any time and for any reason, without notice to you.
You are responsible for obtaining the data network access necessary to use the Services. Your mobile network’s data and messaging rates and fees may apply if you access or use the Services from a wireless-enabled device and you shall be responsible for such rates and fees. You are responsible for acquiring and updating compatible hardware or devices necessary to access and use the Services and Applications and any updates thereto. Cossy ride does not guarantee that the Services, or any portion thereof, will function on any particular hardware or devices. In addition, the Services may be subject to malfunctions and delays inherent in the use of the Internet and electronic communications.
You understand that you may be charged for the services or goods you receive from a third-party provider ("charges") by using the Services. Upon receiving services or goods obtained through your use of the Service, cossy ride will make it easier for you to pay the applicable fees on behalf of the third-party provider as the limited payment collection agent of third-party providers. Payment of the charges in such a manner shall be deemed the same as payment to the third-party company made directly by you. Charges shall include taxes applicable where required by law. Fees you have charged are final and non-refundable unless otherwise decided by a cossy journey. You retain the right to request, at the time you purchase these services or goods, lower charges from a third-party provider for services or goods purchased by you from such third-party supplier. Cossy ride can answer any request from a third-party supplier to change the charges for a particular service or good accordingly.
All charges are due immediately and payment will be facilitated by cossy ride using your Account's preferred payment method, after which cossy ride will send you a receipt via email. If your primary account payment method is found to be obsolete, null or otherwise unable to be paid, you accept that cossy ride may use a secondary payment method in your account, if available, as the Third-party Provider's limited payment collection agent.
As between you and cossy ride, cossy ride reserves the right at any time in the sole discretion of cossy ride to create, delete and/or amend charges for any or all services or goods obtained by using the Services. Cossy ride will make reasonable efforts to inform you of any charges that may apply, provided that you are liable for charges incurred under your Account irrespective of your awareness of such charges or the amounts. Cossy rides may occasionally provide certain users with promotional offers and discounts which may result in different amounts being charged for the same or similar services, or goods obtained through the use of the Services, and you accept that such promotional offers and promotions shall have no effect on your use of the Products or on the charges charged to you unless they are also made available to you. You may agree to cancel your order from a third-party provider for services or goods at any time before the arrival of such third-party provider, in which case a cancellation fee may be paid to you.
This payment structure is intended to give the third-party provider full compensation for the services or goods provided. Cossy ride does not designate any portion of your payment as a tip or gratuity to the third-party provider except in respect of taxicab transportation services requested through the Application. Any reference by cossy ride (on the website of cossy ride, in the Request or in marketing materials of cossy ride) to the effect that tipping is "voluntary," "not needed" and/or "included" in the payments you make for the services or goods given is not intended to imply that cossy ride pays any additional amounts to the third-party provider, beyond those mentioned above. You understand and agree that while you are free to make additional payment free of charge to any third-party company that provides you with services or goods obtained through the Service, you are not expected to do so. Fees are voluntary. You will have the opportunity to rate your experience and leave additional feedback about your Third-party Provider after you have received services or goods obtained through the Service.
You are responsible for repair costs over of normal "wear and tear" damages and necessary cleaning ("Repair or Cleaning") of Third-party Provider vehicles and property resulting from the use of the Services under your Account. If third-party provider declares the need for repair or cleaning and such request for repair or cleaning is checked at the appropriate discretion of a cossy ride, cossy ride reserves the right to accept payment on behalf of the third-party provider for the reasonable cost of such repair or cleaning using your payment method specified in your account. Such amounts will be transferred to and are non-refundable by cossy ride to the applicable third-party provider.
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” COSSY RIDE DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, NOT EXPRESSLY SET OUT IN THESE TERMS, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. IN ADDITION, COSSY RIDE MAKES NO REPRESENTATION, WARRANTY, OR GUARANTEE REGARDING THE RELIABILITY, TIMELINESS, QUALITY, SUITABILITY OR AVAILABILITY OF THE SERVICES OR ANY SERVICES OR GOODS REQUESTED THROUGH THE USE OF THE SERVICES, OR THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE. COSSY RIDE DOES NOT GUARANTEE THE QUALITY, SUITABILITY, SAFETY OR ABILITY OF THIRD-PARTY PROVIDERS. YOU AGREE THAT THE ENTIRE RISK ARISING OUT OF YOUR USE OF THE SERVICES, AND ANY SERVICE OR GOOD REQUESTED IN CONNECTION THEREWITH, REMAINS SOLELY WITH YOU, TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW.
COSSY RIDE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST DATA, PERSONAL INJURY OR PROPERTY DAMAGE RELATED TO, IN CONNECTION WITH, OR OTHERWISE RESULTING FROM ANY USE OF THE SERVICES, EVEN IF COSSY RIDE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. COSSY RIDE SHALL NOT BE LIABLE FOR ANY DAMAGES, LIABILITY OR LOSSES ARISING OUT OF: (i) YOUR USE OF OR RELIANCE ON THE SERVICES OR YOUR INABILITY TO ACCESS OR USE THE SERVICES; OR (ii) ANY TRANSACTION OR RELATIONSHIP BETWEEN YOU AND ANY THIRD-PARTY PROVIDER, EVEN IF COSSY RIDE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. COSSY RIDE SHALL NOT BE LIABLE FOR DELAY OR FAILURE IN PERFORMANCE RESULTING FROM CAUSES BEYOND COSSY RIDE’S REASONABLE CONTROL. YOU ACKNOWLEDGE THAT THIRD-PARTY TRANSPORTATION PROVIDERS PROVIDING TRANSPORTATION SERVICES REQUESTED THROUGH SOME REQUEST BRANDS MAY OFFER RIDESHARING OR PEER-TO-PEER TRANSPORTATION SERVICES AND MAY NOT BE PROFESSIONALLY LICENSED OR PERMITTED. IN NO EVENT SHALL COSSY RIDE’S TOTAL LIABILITY TO YOU IN CONNECTION WITH THE SERVICES FOR ALL DAMAGES, LOSSES AND CAUSES OF ACTION EXCEED FIVE HUNDRED EUROS (€500).
COSSY RIDE’S SERVICES MAY BE USED BY YOU TO REQUEST AND SCHEDULE TRANSPORTATION, GOODS OR LOGISTICS SERVICES WITH THIRD-PARTY PROVIDERS, BUT YOU AGREE THAT COSSY RIDE HAS NO RESPONSIBILITY OR LIABILITY TO YOU RELATED TO ANY TRANSPORTATION, GOODS OR LOGISTICS SERVICES PROVIDED TO YOU BY THIRD-PARTY PROVIDERS OTHER THAN AS EXPRESSLY SET FORTH IN THESE TERMS.
THE LIMITATIONS AND DISCLAIMER IN THIS SECTION 5 DO NOT PURPORT TO LIMIT LIABILITY OR ALTER YOUR RIGHTS AS A CONSUMER THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW.
You consent to insure and keep cossy ride and its owners, administrators, staff and agents safe from any lawsuits, requests, damages, liabilities, and expenditures (including attorney's fees) arising out of or in connexion with: I your use of the Services or services or products acquired through your use of the Facilities; (ii) your breach or infringement of any of these Terms;(iii) (iii) use of your User Content by cossy ride; or (iv) infringement of any third-party's privileges, including third-party providers.
Cossy ride can alert you by a general notice on the Services, by e-mail to your e-mail address in your Account, or by writing to your address as set out in your Account.
You consent to indemnify and keep cossy ride and its owners, administrators, staff and agents safe from any and all lawsuits, requests, damages, liabilities and expenditures (including attorney’s fees) arising out of or in connection with: I Your use of the services or products acquired through your use of the facilities; (ii) your breach or infringement of any of these Terms;
Or (iii) by merger to the successor. As a result of the arrangement between you and cossy ride or use of the Services, there is no joint venture, partnership, and job or service relationship between you, cossy ride or any third-party provider.
If any provision of these Terms is held to be illegal, invalid or unenforceable, in whole or in part, under any law, such provision or part thereof shall to that extent be deemed not to form part of these Terms but the legality, validity and enforceability of the other provisions in these Terms shall not be affected. In that event, the parties shall replace the illegal, invalid or unenforceable provision or part thereof with a provision or part thereof that is legal, valid and enforceable and that has, to the greatest extent possible, a similar effect as the illegal, invalid or unenforceable provision or part thereof, given the contents and purpose of these Terms. These Terms constitute the entire agreement and understanding of the parties concering to its subject matter and replace and supersedes all prior or contemporaneous agreements or undertakings regarding such subject matter. In these Terms, the words “including” and “include” mean “including, but not limited to.”
